Terms and Conditions of Use
Introduction
By signing up for or purchasing a subscription to GamePanel by HM4 Development (“Company,” “we,” “us,” or “our”),
you agree to be bound by these Terms and Conditions of Use (“Terms”), all applicable laws and regulations,
and you are responsible for compliance with any local laws. If you do not agree with any of these Terms,
you are prohibited from using or accessing the Services.
The materials contained in the Platform are protected by copyright, trademark, and other intellectual property laws.
1. Acceptance and Scope
- You must be at least 18 years old to use or purchase the Services.
- By using the Services, you warrant you have authority to enter these Terms.
- These Terms govern access to the cloud-hosted control panel (“Platform”) and related services (“Services”).
2. User Warranties & Representations
- You are the sole user of your account and must keep credentials confidential.
- You have legal capacity to enter binding contracts.
- Registration/subscription info you provide is true, accurate, and complete.
- You will not use Platform data to build or support a competing product or service.
3. Permitted Use and Prohibitions
You may use the Services only for lawful purposes. You shall not:
- Host or distribute infringing, obscene, or illegal content (pirated software, hate speech, malware).
- Attempt to gain unauthorized access to the Platform, accounts, networks, or systems.
- Interfere with the security or integrity of the Services or other users’ data.
4. Governing Law & Jurisdiction
These Terms and disputes shall be governed by the laws of the State of Minnesota, USA.
You and the Company submit to exclusive jurisdiction of state and federal courts located in Minnesota.
5. Company Remedies
We may terminate or suspend your account immediately if:
- You commit a material breach and fail to remedy within 5 days of notice.
- You engage in abusive or harassing behavior toward our staff.
- You become insolvent or are subject to bankruptcy proceedings.
6. Data Storage
- We may store files/data you upload to provide the Services and investigate violations.
- You must have rights/permissions for content you upload.
- We do not sell your data. Disclosure occurs only as required by law or per our Privacy Policy.
7. Prohibited Content
The following content is strictly prohibited:
- Intellectual property you do not own or lack permission to use
- Illegal material, including pirated software or copyrighted media
- Obscene, pornographic, hateful, or harassing content
- Malware, viruses, or harmful code
8. Refund Policy
- Full refund within 14 days of initial purchase (excluding trial subscriptions), minus gateway processing fees.
- No refunds after 14 days unless we cancel service, in which case prorated remaining prepaid days apply.
- Refund requests must be submitted to [email protected].
9. Disclaimer & Limitation of Liability
- Services are provided “as is” and “as available,” without warranties of merchantability or fitness.
- Total liability is limited to subscription fees paid in the three months preceding the claim.
- No liability for indirect, incidental, special, or consequential damages (including lost profits or data loss).
10. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents
from claims, liabilities, damages, losses, or expenses (including attorneys’ fees) arising from your breach
of these Terms or your use of the Services.
11. Termination
- You may cancel your subscription at any time; termination takes effect at the end of the billing cycle.
- We may suspend/terminate immediately for violations, with or without notice.
- Upon termination, access ends and data may be deleted per the Data Retention Policy.
12. Entire Agreement
These Terms, along with any policies referenced herein, constitute the entire agreement regarding the Services
and supersede all prior agreements.
Data Retention Policy
Effective Date: May 24, 2025
Scope: Applies to all user data, logs, backups, and uploaded content stored in the GamePanel Platform.
Retention Categories & Periods:
- Account and Profile Data: active subscription + 1 year after cancellation
- Transaction and Billing Records: 7 years
- Usage Logs: 1 year
- Server Configurations & Backups: 90 days unless deleted
- Support Records: 2 years
Retention Criteria: contractual necessity, statutory requirements, legitimate interests.
Deletion Procedures:
- Data deletable via UI/API during active subscription (where available)
- Archived then deleted post-cancellation
- Secure disposal using industry-standard secure wipes
Exceptions: Legal holds; fraud investigations.
